Legal designation in France for individuals who hold corporate office and possess the authority to represent the company in dealings with third parties. A mandataire social is distinct from a standard employee because their relationship with the firm is governed by corporate law rather than the labor code. This status applies to roles such as the chief executive officer or members of the board of directors.
Legal Mandate
Authority to act on behalf of the company is granted through a formal appointment by the shareholders or the board. This mandate defines the powers and responsibilities of the officer, including the ability to sign contracts and manage the organization’s assets. Because the role is based on trust, the mandate can often be revoked at any time.
Employment Separation
Dual status where an individual is both an employee and a corporate officer is possible but subject to strict conditions. The employment contract must correspond to a real and distinct job with a separate salary and a relationship of subordination to the company. Without these elements, the individual may find themselves without labor law protection if their corporate mandate is terminated.
Liability Exposure
Officers are personally responsible for management faults. This exposure is broader than that of an employee.
