Risk Transfer
Title transfer includes a shift in the responsibility for insurance and storage costs during the term. Under an inventory repo agreement, the buyer holds a security interest in the goods until they are paid back. If the seller fails to perform, the buyer has the right to sell the materials on the open market.
This protection allows the lender to offer more competitive rates than an unsecured loan would allow.
Buyback Requirement
The obligation to repurchase the stock is absolute and must be met by a specific deadline. Failing to execute the inventory repo agreement on time triggers a default and potential loss of the collateral. Management must ensure that the expected cash flow from sales will be sufficient to cover the repurchase cost.
