Meaning
Organizational principle requiring multiple authorized representatives to sign jointly to bind a company to a legal act. By implementing gesamtvertretung, a firm prevents any single individual from having total control over its contracts and assets. This structure acts as a four-eyes principle check on executive power to mitigate the risk of fraud or error.
Joint Authority
Signatures from at least two people are usually required for a document to be valid. One director and a prokurist acting together is a common example. The requirement is recorded in the commercial register so that third parties are aware they cannot rely on a single signature.
Signature Control
Verification of representative power is a critical step in any high-value transaction. When a supplier receives a contract, they check the register to see if the signatures meet the requirements of the gesamtvertretung. A contract signed by only one person when two are required may be unenforceable.
Transaction Security
Fraud risk is significantly reduced when no one person can move large sums of money. This structure is particularly important during the transition from a prototype to a production environment where capital flows are larger. It ensures that every major commitment has been reviewed by at least two responsible officers.
