Meaning
Statutory frameworks provide the legal foundation for the transfer and storage of goods in commercial transactions. Within the United States, article 7 ucc governs warehouse receipts, bills of lading, dock warrants and warehouse orders. It defines the rights and duties of the bailee who holds the goods and the person who holds the document representing those goods.
Uniformity in these regulations allows businesses to trade goods across state lines without facing conflicting legal requirements for ownership documentation.
Document Authority
Legal rights over physical inventory shift through the possession of formal records rather than the immediate movement of the goods themselves. Under article 7 ucc, a document of title is a functional substitute for the assets it describes, allowing for the sale or pledge of goods while they remain in a warehouse. The document must be issued by or addressed to a bailee and purport to cover goods in the possession of the bailee.
Possession of a negotiable document grants the holder the legal power to receive, hold and dispose of the document and the goods it represents.
Bailee Liability
Warehouse operators and carriers assume specific responsibilities when they issue documents of title for goods in their care. The bailee is required to deliver the goods to the person entitled under the document, provided the bailee receives satisfaction of any lien and the document is surrendered. If the bailee fails to meet these obligations, article 7 ucc establishes the conditions under which the bailee is liable for damages for loss or injury to the goods.
The standard of care usually involves the diligence that a reasonably careful person would exercise under similar circumstances. Liability limits are often specified within the document or by statute to manage the financial risks of the bailee. Specific exclusions apply when damage is caused by an act of God or a public enemy.
Negotiation Protocol
Transferring ownership of goods in transit requires a formal process of delivery and endorsement. When a document of title is negotiable, a buyer who takes it by due negotiation acquires the title to the document and the title to the goods. The protocol under article 7 ucc ensures that the transferee receives the protections of a holder in due course, shielded from many claims against the goods.
Successful negotiation facilitates the flow of credit by allowing banks to accept documents of title as secure collateral for loans. article 7 ucc establishes the legal standard for domestic shipping documents.
