Creditor Forbearance
Lenders agree to suspend their rights to accelerate outstanding debt or enforce security interests during the standstill period. They also agree to waive certain financial covenants that the debtor is likely to breach during this time. This forbearance is critical to preventing a domino effect of cross-defaults across different loan facilities.
Liquidity Runway
Monitoring provisions within the agreement often require the debtor to implement strict cash management measures during the standstill period. This can include providing the lenders with weekly cash flow forecasts and reports on all expenditures. By maintaining this close oversight, the lenders can ensure that the debtor is using the standstill period to preserve liquidity and not to deplete assets.
Default Pause
The standstill period terminates immediately if the debtor breaches any of the terms of the standstill agreement. This can include failing to provide financial reports, incurring additional debt, or failing to make required progress towards a restructuring plan. This automatic termination right protects the lenders from any further deterioration of the debtor’s financial position during the standstill period.
