Keeping the physical goods in custody is the essential requirement for maintaining this security interest. If the manufacturer voluntarily releases the finished items to the buyer, the right of retention is lost. This means that custody must be maintained continuously to preserve the claim.
Supply Hold
Halting the shipment of finished assemblies disrupts the buyer’s distribution network. This action can force a prompt settlement from the customer who requires the goods to fulfill their own sales commitments. It gives the manufacturer significant leverage in payment disputes.
Release Condition
Discharging the outstanding debt or providing an equivalent security bond is the only way for the buyer to regain possession of the assets. Once the payment is confirmed, the manufacturer must release the goods to the owner.
