Physical asset retention represents the legal right of a service provider to hold a customer’s goods until the outstanding fees for those services are paid. Exercising possessory liens allows laboratories, warehouses, and shipping lines to retain metal concentrates or drill cores until payment is received. This right is tied to the physical possession of the material and is lost if the goods are released.
Retention Right
Service providers use this legal tool to secure payment for work performed on the assets. For example, an assay laboratory can refuse to release the analytical reports or the pulp samples until the invoices are settled. This gives the provider a high-priority claim that does not require court filing.
The physical hold must be continuous to remain valid. If the laboratory returns the samples to the client, the lien is broken and cannot be reinstated for that batch.
Debt Enforcement
If the customer refuses to pay, the lien holder can begin the process of selling the retained goods. This usually requires a court order or a specific statutory process to ensure a fair sale. The proceeds are used to cover the unpaid fees, with the excess returned to the owner.
This protects the service provider from bad debts.
Release Condition
The lien is lifted once the debt is paid in full. This requires the service provider to immediately return the physical assets to the owner. If the provider refuses to release the goods after payment, they can be held liable for damages.
This makes prompt release after payment necessary.
