Liquidity management arrangements allow banks to calculate interest on the net balance of several separate accounts held by different group companies without actually merging the funds. The notional cash pool set-off occurs when the bank exercises its contractual right to offset a deficit in one account against a surplus in another to recover a defaulted debt. This right is typically suspended if one of the pool participants enters formal restructuring or insolvency proceedings.

Corporate treasuries use multi-account structures to keep regional cash separate while minimizing interest expenses. Once a notional cash pool set-off is executed by the bank, the individual account balances of the subsidiaries are altered to cover the group’s net debt. This mechanism allows the bank to reduce its credit exposure to the group as a single borrower.
Insolvency Risk
Separate corporate identities are often challenged by bankruptcy trustees when banks try to net balances after an insolvency filing. When the notional cash pool set-off is rejected by the court, the bank is forced to return the seized cash to the solvent subsidiaries’ accounts. This risk makes banks demand joint and several liability agreements from all pool participants.
Balance Integration
Interest calculations are performed daily based on the consolidated net position of the pooled accounts. This integration helps the corporate group optimize its cash yields without the administrative cost of physical cash concentration.
