Subordination Clauses
Property owners agree to subordinate their statutory or contractual liens to the primary security interest of the lender. Reserve Mitigation
Lenders establish cash reserves that reduce the borrowing base of the debtor when these agreements cannot be obtained. The absence of signed landlord waivers forces the lender to deduct several months of rent from the eligible collateral pool. This deduction protects the lender against the potential cost of negotiating with an uncooperative property owner during a liquidation.
