Corporate governance frameworks employ a specialised board subcommittee to manage restructuring processes and resolve potential conflicts of interest among stakeholders. This body, known as an independent restructuring committee, operates with a mandate to evaluate strategic alternatives such as debt refinancing, asset sales, or insolvency filings. By populating the committee with non executive directors who have no financial or personal ties to the company’s major creditors or equity holders, the board establishes a clear boundary of objectivity.
This separation is crucial when the interests of secured lenders, unsecured creditors, and shareholders diverge during distress. The committee’s decisions must withstand intense scrutiny from both bankruptcy courts and disgruntled investor groups.
Operational Authority
The subcommittee receives full authority to engage independent legal and financial advisors to execute its mandate. In a typical scenario, an independent restructuring committee will direct the negotiations with lenders, analyze cash flow forecasts, and draft the final restructuring plan. Executive directors and founders are excluded from these deliberations to prevent their personal liabilities or equity holdings from influencing the outcome.
This operational autonomy ensures that the resulting plan maximises the value of the estate for all stakeholders and avoids favoring any single faction.
Conflict Mitigation
Boards of distressed companies face severe litigation risk from creditors who suspect self dealing or preferential treatment. The formation of the committee mitigates this risk by providing a defensible record of arm’s length decision making. If a transaction is subsequently challenged in court, the involvement of an objective committee helps establish the business judgment rule defense.
Process Execution
Setting up the committee must occur early in the distress phase to be effective. Delaying the appointment until default has occurred undermines its perceived independence and limits the available strategic options.
