A court may designate a person as a dirigeant de fait if they perform positive acts of management independently. Managerial liability increases when individuals assume corporate tasks without an official appointment.
The designation usually arises during insolvency proceedings to hold shadow managers accountable for the company’s financial shortfalls.
Judicial Test
Courts determine shadow management by assessing whether a person performed repeated acts of administration on behalf of the corporation. Undergoing an audit of corporate communications often reveals whether a consultant has crossed the line into becoming a dirigeant de fait by dictating supplier contracts, setting production rates or hiring assembly line workers. Isolated acts of advising or representing a firm do not trigger this designation.
The judicial assessment focuses on the substance of the control exerted rather than the title held by the individual. Establishing that a person acted of their own volition is essential to proving de facto management in court.
Operational Control
Executive decision making in a factory or assembly plant must rest with registered directors to avoid governance failures. When an external investor or parent company representative dictates daily operational choices, they risk being classified as a dirigeant de fait. Unregistered intervention is particularly risky during the transition from pilot to high volume production.
Supplier forecasts and procurement choices must be signed off by formal officers rather than third party advisors.
Financial Liability
Insolvency proceedings can result in personal financial orders against shadow directors. Where a dirigeant de fait has contributed to the asset shortfall of an insolvent company, they can be ordered to pay the entity’s debts. Securing indemnity for these liabilities is impossible because standard insurance policies exclude unregistered managers.
