Meaning
Tripartite document that coordinates the rights of a property owner and a secured creditor. It governs the physical access to pledged assets and stops applying once the underlying loan is paid in full or the assets are removed.
Entry Right
Permission for the lender to enter the building allows them to inspect, maintain, or remove the collateral without being sued for trespass. The landlord agrees to waive or subordinate their own lien on the borrower’s goods in favor of the bank’s interest. The access is usually subject to a notice period and must be conducted during normal business hours to minimize disruption to the site.
Security Interest
Identification of the specific items covered by the agreement prevents confusion about which assets the lender can claim. If the borrower goes bankrupt, the collateral access agreement ensures that the bank can recover its property ahead of other creditors who do not have a secured interest. The legal protection lowers the risk for the lender, which can lead to better borrowing terms for the business.
Recovery Procedure
Steps for removing the assets are clearly defined to prevent damage to the landlord’s property. The lender typically agrees to repair any harm caused by the removal process and may pay a daily fee for the use of the space during the liquidation period. Having these procedures in place before a default occurs simplifies the recovery of funds and reduces the need for litigation.
