Meaning
Legal relationship where physical possession of personal property is transferred from one person to another for a specific purpose without transferring ownership. This arrangement governs the storage, transport, or repair of goods and ends when the purpose is fulfilled or the owner reclaims the item. It establishes a standard of care that the holder must maintain while the property is in their custody.
The boundary of the relationship is reached when the goods are returned or permanently disposed of according to instructions.
Custody Standard
Physical control over the goods defines the start of the relationship. In a commercial bailment, the party receiving the items must demonstrate the capability to store them safely and according to agreed environmental conditions. This differs from capacity, which only measures the volume a facility can hold.
A pilot run of a storage protocol often reveals whether the bailee can actually meet the required handling standards before a large scale production lot arrives.
Liability Framework
Responsibility for damage or loss depends on the nature of the agreement and the benefit derived by each party. Where the arrangement benefits only the receiver, a high degree of care is expected. Professional warehouse operators usually operate under a mutual benefit structure where the fee paid dictates the level of insurance and protection provided.
Calling a result on the safety of the goods before a full inspection is complete leads to inaccurate insurance claims and financial loss.
Termination Event
Completion of the service or the expiration of the storage term triggers the end of the obligation. The bailee must return the exact same goods or a specific equivalent if the contract allows for commingling. Any unauthorized use of the property during the period of bailment constitutes a breach of the agreement.
