Legal possession of personal property is transferred from an owner to another party for a specific purpose without a change in title. This bailment custody creates a duty of care for the holder to protect the goods while they are in their control. The relationship ends when the goods are returned to the owner or moved to a designated third party.
Transfer Duty
Handing over the keys to a warehouse or the bill of lading for a shipment initiates the legal obligation. The party accepting bailment custody must acknowledge receipt of the items in their current condition. Documentation often includes a warehouse receipt or a dock warrant to prove the transfer.
Standard Care
Liability for damage depends on the nature of the agreement and the benefit derived by each party. A warehouse charging a fee for storage is held to a higher standard of care than a neighbor holding an item for free. The holder of bailment custody must implement reasonable security measures to prevent theft or environmental degradation of the inventory.
Return Obligation
Delivery of the exact items received is the final step in the process. If a manufacturer sends aluminum ingots for processing, the bailee must return those specific ingots or the finished products made from them. Any failure to return the property constitutes a conversion and allows the owner to seek legal damages.
