Meaning
Possessory rights held by a party entrusted with the physical custody of goods provide a legal mechanism to retain those goods until outstanding charges for storage or carriage are satisfied. Such security is known as a bailee lien, arising when a service provider performs work or provides storage that adds value or preserves the property. The right arises from the common law or specific statutory frameworks governing warehousing and transport.
It terminates once the goods are voluntarily surrendered or when the debt is fully discharged by the bailor.
Secured Possession
Physical control of the property is the primary requirement for maintaining this security interest. If the holder of a bailee lien relinquishes custody of the cargo, the legal right to retain it is lost. Reacquiring the goods later does not restore the original security interest, making continuous holding of the items necessary for legal protection.
Operational Risk
Unresolved claims can halt the flow of critical pre-production components from a third-party warehouse or test facility. A bailee lien exercised on prototype tooling can freeze a product launch, meaning the transition from pilot testing to volume assembly requires a clear audit of all outstanding supplier balances. Calling volume production early before completing this audit leads to costly line stoppages if the custodian refuses to release the required parts.
Proving a supplier’s theoretical capacity is useless if physical items are legally held in storage, turning a contractual dispute into a physical constraint that prevents the planned production yield.
Discharge Verification
Clearing these obligations involves formal payment verification or the posting of an alternative security. An audit of logistics records ensures that all freight and storage invoices are paid before high-volume production begins. This verification establishes that the manufacturer holds unencumbered title and physical access to its inputs, distinguishing a supplier’s forecasted capacity from the actual demonstrated rate of part availability.
