Meaning
Legal agreement signed by a storage provider relinquishes their statutory or contractual lien rights over stored goods in favor of a customer’s secured lender. This document ensures that if the customer defaults on their loan, the lender can enter the warehouse to seize and liquidate the collateral without interference or claims from the warehouse operator for unpaid storage fees. In asset-based manufacturing finance, a warehouse keeper waiver is a critical requirement for securing working capital loans against stored inventory.
Credit Requirement
Securing the loan requires the bank to have uninterrupted access to the pledged inventory. If the warehouse keeper could block access due to unpaid rent, the value of the collateral would be compromised. The waiver solves this problem by giving the lender priority over the storage provider.
Operational Conflict
Agreeing to the waiver means the warehouse operator loses their primary leverage for recovering unpaid fees. This loss of security requires the operator to evaluate the creditworthiness of the customer more carefully or demand upfront payments. It creates a tension between the logistics provider and the manufacturer.
Risk Allocation
Clarifying the rights of each party prevents legal disputes during a bankruptcy. It allows the lender to fund the manufacturer with confidence that the inventory collateral is fully secured.
