Representative authority of a person to create or modify legal relationships on behalf of another entity. In the context of a corporation, vertretungsmacht determines which officers have the power to sign contracts that the company is then required to fulfill. It is the external face of the organization’s capacity to engage in trade.
Representative Power
Source of this authority is usually the law or the company’s articles of association. For a gmbh, the managing directors hold this power by virtue of their office. It allows the firm to interact with suppliers and customers through the actions of its human agents during a production run.
Binding Authority
Transactions performed within the scope of this power are directly attributed to the company. If an authorized officer signs for a new production facility, the company is the owner and the debtor. This remains true even if the officer violated an internal instruction from the shareholders.
The legal effect is immediate and cannot be reversed simply because the pilot result was poor. By assigning this power, the firm accepts the risk that the manager might commit to a demonstrated rate that exceeds the available capital.
External Effect
Market security depends on the clear definition of who can bind whom. By checking the commercial register, a counterparty confirms the vertretungsmacht of the person across the table. This reduces the risk of entering an agreement that the company could later claim is invalid.
Clear representative lines are a requirement for moving from prototype to production.
