Meaning
Executive incentive provisions require employees to surrender any unearned stock grants or options if they leave the corporation before completing a specified period of service. Executing unvested equity forfeiture protects the company’s capital by preventing departing workers from carrying away ownership rights that have not been fully earned through continued performance. This financial control operates automatically upon the termination of employment, cancelation of the grants in the registry, and reallocation of the shares to the corporate pool.
The provision applies across all levels of professional grants but exempts cases where explicit retirement clauses are met.
Vesting Schedule
Grants of equity are typically released on a multi year schedule to ensure that value is delivered incrementally. This step by step release means that only a portion of the total award becomes permanent each year. The remaining balance remains subject to cancelation if the employment relationship terminates.
Employee Retention
Retention of critical talent is the primary benefit of this system. Employees face a financial loss if they accept a job offer elsewhere before their stock grants vest. This loss acts as a natural barrier to employee turnover.
Corporate Protection
Protection against competitor hiring is achieved by creating these financial exit barriers. If an employee is dismissed for cause, the cancelation of the unvested assets occurs immediately. This mechanism reduces the risk of paying for performance that was not delivered.
