Meaning
Contractual term maintains the seller’s legal ownership of goods until the buyer has paid the full purchase price. A simple retention clause is the most basic form of title protection and applies only to the specific items delivered under a particular invoice. It prevents the goods from becoming part of the buyer’s general assets in the event of an early insolvency.
Physical Identification
Marking the items is necessary for the seller to exercise their right of repossession. Because a simple retention clause only covers the goods for which payment is outstanding, it does not provide security for other unpaid balances on the account.
Sellers Evidence
Creditors must be able to prove that the buyer agreed to the term before or at the time of the contract. The effectiveness of a simple retention clause depends on the goods remaining in their original state and not being incorporated into a larger manufacturing process. Once the items are transformed or mixed with other materials, this basic form of protection usually fails because the original identity of the property has been lost in the production of a new and distinct item.
Recovering Property
Entry to the buyer’s premises must be explicitly permitted in the agreement to allow for the collection of the goods. A simple retention clause functions as a risk management tool for suppliers of bulk commodities or finished products. It allows the vendor to reclaim their stock and sell it to a different customer if the original deal falls through or the buyer enters liquidation.
