Companies registered in the United Kingdom may exempt their subsidiaries from mandatory audit requirements by providing an official parental commitment. This legal instrument, known as a section 479a guarantee, requires the parent company to give an uncapped undertaking to cover all outstanding liabilities of the subsidiary at the end of the financial year. It remains in force until the liabilities are settled.
Exemption Benefit
Subsidiaries avoid the significant administrative burden and high costs of an independent annual audit by using this statutory pathway. This cost saving is particularly beneficial for non-trading or intermediate holding entities within a larger corporate structure. The arrangement allows groups to concentrate audit resources on key operating companies.
Financial Risk
Parent companies must weigh the financial risk of taking on unlimited liability for the subsidiary’s debts, which could impact the parent’s own credit rating or borrowing terms. If the subsidiary undergoes a sudden financial distress, the parent can be sued directly by creditors without those creditors first pursuing the subsidiary. This exposure must be reviewed by the board before signing the guarantee.
Filing Process
Forms and audited consolidated accounts of the parent company must be submitted to Companies House before the subsidiary’s annual filing deadline. This submission must include the formal board resolution and the signed guarantee document. Failing to file on time invalidates the audit exemption.
