Contractual provision that keeps ownership of goods with the seller until the buyer provides full payment. Sales teams use legal title reservation to protect themselves against the risk of a customer going bankrupt. This clause allows the seller to reclaim the items even if they are stored on the buyer’s premises.
Ownership Retention
Property rights stay with the vendor while the buyer holds the goods as a bailee. Throughout the period of legal title reservation, the items must remain identifiable and separate from the buyer’s own stock.
Payment Condition
Rights of the buyer to sell the goods on to others are often restricted. Once the final invoice is settled, legal title reservation ends and the ownership transfers automatically.
Creditor Protection
Recovery of the physical assets is the primary remedy if the buyer fails to pay. A strong clause for legal title reservation survives the appointment of a receiver or liquidator. The effectiveness of this protection depends on the ability of the seller to find and identify their specific products in the warehouse, and the cost of the recovery effort increases if the goods have been integrated into a larger assembly.
The seller maintains a proprietary interest that is superior to the claims of the bank.
