Operational Freezing
Business actions are restricted immediately following this transition to protect the interest of the secured lender. Once a crystallization event occurs, the borrower can no longer trade or sell its raw materials in the ordinary course of business. This restriction stops the depletion of the asset pool.
Priority Protection
Security rank is established relative to subsequent unsecured transactions and preferential claims upon transformation. By changing from a floating to a fixed charge, a crystallization event secures the lender’s position against later tax liens and general creditor claims. This ensures the lender sits closer to the top of the payout order.
Notification Requirements
Notice must be filed with the official company registry to alert third parties to the change in security status. Before a crystallization event is registered, potential suppliers may assume the borrower can still grant clean title to its stock. Filings resolve this ambiguity.
